Cantor Fitzgerald wins big on Tether’s investment in Rumble

On December 20, RumbleRUM $16.50 (28.16%), the conservative video-sharing platform, announced that it had received a $775 million “strategic investment” from stablecoin platform Tether. The terms of this investment were… interesting:

Investment: Tether has agreed to purchase 103,333,333 shares of Rumble Class A Common Stock at a price per share of $7.50, totaling $775 million in gross proceeds to Rumble. The Company will use $250 million of the proceeds to support growth initiatives.

Self Tender Offer: With the remaining gross proceeds, the Company will fund a self tender offer for up to 70 million shares of Rumble Class A Common Stock at a price per share of $7.50, net to the holder in cash.  All holders of Rumble Class A Common Stock will be eligible to participate in the tender offer on the same terms. Certain Rumble stockholders have signed support agreements committing to tender 70 million shares in the aggregate, subject to the same proration and other terms of the tender offer that apply to all Rumble stockholders participating in the tender offer. Chris Pavlovski has committed to tender, and does not intend to sell more than 10 million shares of Class A Common Stock in the tender offer…

Timing: The investment and the tender offer are expected to close in the first quarter of 2025.

Basically, only $250 million of the $775 million is actually an investment in the business, where the cash actually hits Rumble’s balance sheet. The other $525 million is funding a “self tender offer,” meaning that Rumble will be buying up to 70 million shares of its stock back from investors at $7.50 per share, and the deal is expected to close in Q1 of next year. rest of the story

Carroll County Fair Seeks Level Funding From Supervisors For FY26

The Carroll County Fair Board is seeking level funding from the board of supervisors for Fiscal Year (FY) 2026. Fair Board President Brian Sander presented during the supervisors' meeting on Monday. The fair board is again requesting $13,500 from the county, and Sander says their support helped them reach a significant milestone this year. More than $2 million in improvements have been made to the fairgrounds in recent years. Sander says the 2024 fair was a solid year in terms of attendance and featured 223 exhibitors. He says their biggest challenge isn't finding kids to show at the fair or people to come watch. It is insurance. That comes out to a 165 percent increase in premiums, compared to an inflation rate over the same period of 37 percent. In an effort to offset some of the rising expenses, the fair board slightly increased gate fees for adults during the 2024 fair, which did not have a significant impact on attendance. The board generates a substantial amount of their revenue from the six races they host each year, plus they've started renting out the facilities on the fairgrounds for people to store their boats and RVs during the winter. According to Sander, the Carroll County Fair Board is well-positioned with the county's support, and he says the fair is worth the investment. The supervisors did not take formal action on the Carroll County Fair Board's request at Monday's meeting, but they will consider it as they proceed through the FY26 budgeting process.

🧑‍🚒 The Audubon Fire and Rescue Association is hosting its annual steak dinner fundraiser with the popular 50/50 raffle drawing this Saturday. Join the volunteer fire department as they work to raise funding for a new fire station. Dinner will be served from 5 p.m. to 7 p.m. at the Agrilhall at the Audubon County Fairgrounds, with a menu featuring steak, baked potato, broccoli salad, dinner roll, and a brownie. Tickets are available at the door for $25 per person. Along with dinner, entertainment will be provided by DJ Shane Major from 9 p.m. to midnight, with the gun auction, carnival games with cash prizes, and the drawing for the 50/50 raffle. As of Dec. 23, the raffle pot is sitting at $4,930, with a take-home cash winning of $2,465. Tickets for the raffle drawing are $10 and are still available from any fire department member or using Venmo: @Audubon-FRA. Again, join the Audubon Fire and Rescue Association for the annual steak dinner fundraiser, with entertainment to celebrate the ending of the 2024 year.

🦌 Iowa’s deer hunters are now transitioning to late-season muzzleloader and reopened archery seasons through Jan. 10, following the conclusion of the regular gun seasons. Iowa Department of Natural Resources (DNR) Deer Biologist Jace Elliott predicts around 10,000 deer will be harvested by 15,000 to 20,000 late muzzleloader hunters. January brings two antlerless-only seasons: the Population Management January Antlerless Season and the Excess Tag January Antlerless Season, both running Jan. 11-19. The former allows various weapons and is available in seven counties in southern Iowa that met tag requirements. The latter, limited to rifles, is open statewide in counties with unsold antlerless tags. Deer harvests have reached 87,000 so far, with Elliott anticipating totals close to last year’s 104,000. Early data from hunters suggests hemorrhagic disease, also known as EHD, significantly impacted deer populations in Iowa, with deaths reported in 94 counties. Meanwhile, the Iowa DNR has collected over 5,000 deer samples for chronic wasting disease, with 26 positive cases reported, including in three new counties, Davis, Shelby, and Wapello.

🥩 The Westside Fire Department is gearing up to host its annual steak supper fundraiser next week. The meal will be held as a drive-through event at the Westside Fire Station on Eagle Street on Tuesday, Dec. 31, from 4 p.m. to 8 p.m. Meals are available for $25 each and include potatoes, green beans, sides, and choice of grilled steak or smoked Windsor porkchop. The department is also selling raffle tickets for $10 each, three for $20, or five for $30.  The drawing will be held the same evening as the dinner; prizes include two $500 cash awards and a quilt donated by the Busy Thimbles. Tickets are available from any Westside firefighter, Westside State Bank, or the Observer office. The money raised will be used to benefit the Westside Fire Department by offsetting training and equipment costs for volunteers.

A small Iowa town rebuilds 8 months after a deadly tornado

Minden was hit by a destructive EF4 tornado back in 1976. The twister in 2024 killed one person and injured a few others.

Progress is slow and steady after an EF3 twister struck Minden on April 26, 2024. Even with some concerns about insurance payouts, the mayor is optimistic about the future.

Colleen Haggerty considered her family lucky after a tornado hit her home in Minden.

“It was stormy. My daughter was here,” Haggerty said. “She was looking out the door and says, ‘It looks like the tornado is coming.' And she turned around and then looked back. I said, 'Oh, it's going the other way.' And then she turned back around and says, 'It's coming.' We ran around the corner there — and it hit.”

Fortunately, Haggerty, her daughter and two grandchildren endured the storm without physical injuries.

“The whole east wall, you could see daylight around the top and down the sides, the roof,” Haggerty said. “I lost my garage, my patio, shed and I had stuff come through the kitchen windows.”
